This License grants the authority to operate and provide various cryptocurrency services for corporate clients, as well as for the general public and non-residents of the Autonomous Island of Anjouan, Union of Comoros. It allows the Licensee to carry out all or any of the following business activities, either individually or in conjunction with others:
  • Acceptance of cash deposits of any type (depositary transactions).
  • Provision of loans and borrowing of funds (loan transactions).
  • Conduct of currency exchange transactions.
  • Issuance of securities and credit card processing.
  • Securities safekeeping, management, and execution of securities purchases and sales.
  • Acting as an intermediary in securities trading.
  • Provision of guarantees (guarantee business).
  • Facilitation of payments, including opening accounts for legal entities and individuals.
  • Holding assets, capital, precious metals, bonds, shares, or other financial instruments for third parties.
  • Engagement in electronic commerce (e-commerce).
  • Provision of other financial services.
  • Cryptocurrency trading.
  • Operation of a Cryptocurrency Exchange (utility token and security token).
  • Cryptocurrency liquidity provision.
  • Cryptocurrency storage.
The validity of this License shall expire on the date specified in the accompanying document, or when the Licensee ceases to remain incorporated in the Autonomous Island of Anjouan, Union of Comoros, whichever occurs earlier, unless the License is revoked by the Anjouan Offshore Finance Authority. The License is subject to amendments as outlined in “Government Notice No. 004 of 2005” and “Government Notice No. 5 of 2005.”

License Cancellation:

The License shall automatically stand cancelled without prior notice if any of the following events occur:

  1. The Company engages in activities that are prohibited or contrary to any laws, enactments, or rules of the Autonomous Island of Anjouan, Union of Comoros.
  2. As an International Company, the Licensee shall not, except as permitted by its approved Constitution:
    • Conduct business in the Autonomous Island of Anjouan, Union of Comoros (other than banking), or own an interest in immovable property in Anjouan, except for leasing premises from which to conduct its business.
    • Engage in insurance, sea or air transport, gambling, or any other activity requiring a specific license.
    • Operate with fewer than one Director or one member at any time.
    • Solicit public subscriptions for shares or debentures in the Company.

Business Location and Activities:

For the purposes of this License, the Company shall not be deemed to be carrying on business in Anjouan solely due to the following activities:

  • Conducting business with another company incorporated under the relevant Act or in furtherance of the Company’s operations conducted outside Anjouan.
  • Leasing premises for business purposes, as permitted under the Act.
  • Making or maintaining deposits with a licensed entity conducting banking business in Anjouan.
  • Receiving professional services from registered agents, legal counsel, accountants, bookkeepers, trust companies, management companies, investment advisers, insurance brokers or agents, or other similar service providers operating in Anjouan.
  • Preparing or maintaining company records within the Autonomous Island of Anjouan, Union of Comoros.
  • Holding meetings in Anjouan for directors or members.
  • Holding shares, debt obligations, or other securities in a company incorporated under the Act.
  • Issuing shares, debt obligations, or other securities in a company incorporated under the Act or under the Companies Act.

Non-Renewal or Late Payment:

Failure to submit the renewal payment on the due date will result in the suspension or revocation of the License and the International Business Company (IBC) status.

Liability:

The individuals conducting the business of the Company shall be personally, jointly, and severally liable for all actions, omissions, irregularities, or violations committed after the cancellation of the License.

Police Clearance Requirement:

At each anniversary of the company’s incorporation, the persons conducting the business of the company must provide a certificate from the local police authority where the company’s principal place of business is located, confirming that they have not been involved in any criminal proceedings.

Changes to Company Structure:

Any changes to the Company, including modifications to share capital, or the appointment or removal of Directors or Shareholders, must be approved by the Anjouan Registrar of International Business Companies.

Acceptance of Terms:

By accepting this License, the Licensee confirms that they have read, understood, and agreed to the terms and conditions of the Banking License. These terms and conditions may be amended at any time by the Registrar of International Business Companies.
